IN ANY EVENT, PIZZANA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO PIZZANA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
11. Indemnification
You agree to defend, indemnify, and hold harmless Pizzana and its respective officers, directors, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

13. Dispute Resolution
13.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact Pizzana directly at [email protected] to attempt to resolve the dispute informally. We will make good-faith efforts to resolve any dispute within thirty (30) calendar days of receiving your written notice. If we are unable to resolve the dispute informally within this period, either party may proceed to formal dispute resolution as described below.
13.2 Binding Arbitration
ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, OR THE SERVICES — INCLUDING ANY QUESTIONS REGARDING ITS EXISTENCE, VALIDITY, OR TERMINATION — THAT CANNOT BE RESOLVED INFORMALLY SHALL BE FINALLY SETTLED BY BINDING ARBITRATION, RATHER THAN IN COURT.

The arbitrator may award any individual relief or individual remedies that would be available in a court of law.
13.3 Class Action Waiver
YOU AND PIZZANA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Pizzana agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.
13.4 Exceptions to Arbitration
Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the resolution of arbitration. Claims relating to the infringement of intellectual property rights may also be brought in court.
13.5 Time Limitation on Claims
YOU AGREE THAT ANY CLAIM YOU MAY HAVE ARISING OUT OF OR RELATED TO YOUR RELATIONSHIP WITH PIZZANA MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM AROSE; OTHERWISE, YOUR CLAIM IS PERMANENTLY BARRED.
14. Term and Termination
These Terms shall remain in full force and effect for as long as you continue to access or use the Website or services. Pizzana may, in its sole discretion and at any time, terminate or suspend your access to the Website and services, with or without cause, with or without notice, effective immediately.
