5. Ordering, Payment Terms, and Pricing

• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES

IN ANY EVENT, PIZZANA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO PIZZANA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

11. Indemnification

You agree to defend, indemnify, and hold harmless Pizzana and its respective officers, directors, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Pizzana directly at [email protected] to attempt to resolve the dispute informally. We will make good-faith efforts to resolve any dispute within thirty (30) calendar days of receiving your written notice. If we are unable to resolve the dispute informally within this period, either party may proceed to formal dispute resolution as described below.

13.2 Binding Arbitration

ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, OR THE SERVICES — INCLUDING ANY QUESTIONS REGARDING ITS EXISTENCE, VALIDITY, OR TERMINATION — THAT CANNOT BE RESOLVED INFORMALLY SHALL BE FINALLY SETTLED BY BINDING ARBITRATION, RATHER THAN IN COURT.

The arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding. The arbitrator may award any individual relief or individual remedies that would be available in a court of law.

13.3 Class Action Waiver

YOU AND PIZZANA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Pizzana agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

13.4 Exceptions to Arbitration

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the resolution of arbitration. Claims relating to the infringement of intellectual property rights may also be brought in court.

13.5 Time Limitation on Claims

YOU AGREE THAT ANY CLAIM YOU MAY HAVE ARISING OUT OF OR RELATED TO YOUR RELATIONSHIP WITH PIZZANA MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM AROSE; OTHERWISE, YOUR CLAIM IS PERMANENTLY BARRED.

14. Term and Termination

These Terms shall remain in full force and effect for as long as you continue to access or use the Website or services. Pizzana may, in its sole discretion and at any time, terminate or suspend your access to the Website and services, with or without cause, with or without notice, effective immediately.

Grounds for termination may include, but are not limited to:

• Breach of any provision of these Terms
• Requests by law enforcement or other government agencies
• Discontinuation or material modification of the Website or services
• Unexpected technical or security issues or problems
• Fraudulent or illegal activity associated with your account

Upon termination, your right to use the Website immediately ceases. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation: ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise of that right, power, or remedy or the exercise of any other right, power, or remedy. No waiver by Pizzana of any breach or default of any user shall be deemed a waiver of any subsequent breach or default.

These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by us on the Website, constitute the entire agreement between you and Pizzana with respect to your use of the Website and services.
